While the rewards of a successful deal can be significant, the costs that can result from a failed or poorly-executed transaction should not be underestimated. Yet for many company principals, the enthusiasm of the deal sometimes overshadows the process and issues that may arise, and not focusing on the details can lead to mistakes.
On Tuesday, July 25, NY Tech Alliance in partnership with Paul Ellis Law Group, is presenting a panel of accomplished M&A (mergers and acquisitions) professionals. The panel will include an M&A lawyer, an M&A advisory accountant, an investment banker who focuses on the tech sector and an entrepreneur who has been through the process of successfully selling a company. The presentation will cover the following:
- The many phases of the typical M&A deal, including initial discussions, preparation of a Letter of Intent (LOI), due diligence, drafting and negotiation of definitive documents and closing
- Fundamental issues arising in most M&A transactions and various strategies for resolving them
- Critical tax considerations that must be addressed in the early stages of structuring a transaction
- Best practices to protect critical assets and relationships in the event of a failed deal

He is now the chief revenue officer and a member of the board of directors of Edmonton, AB based Stormboard - a company revolutionizing the collaboration industry for data-first thinkers. Al lives in Raleigh, NC with his daughter Leah and his dog Teddy - both of whom often make guest appearances on his YouTube cooking show.
