Buying and Selling Privately-Held Companies: Process and Key Deal Terms

Buying or selling a company is always a high-stakes event. While the rewards of a successful deal can be significant, the costs that can result from a failed or poorly-executed transaction should not be underestimated. Yet for many company principals, the enthusiasm of the deal sometimes overshadows the process and issues that may arise, and not focusing on the details can lead to mistakes.

On Tuesday, July 25, NY Tech Alliance in partnership with Paul Ellis Law Group, is presenting a panel of accomplished M&A (mergers and acquisitions) professionals. The panel will include an M&A lawyer, an M&A advisory accountant, an investment banker who focuses on the tech sector and an entrepreneur who has been through the process of successfully selling a company. The presentation will cover the following:

  • The many phases of the typical M&A deal, including initial discussions, preparation of a Letter of Intent (LOI), due diligence, drafting and negotiation of definitive documents and closing
  • Fundamental issues arising in most M&A transactions and various strategies for resolving them
  • Critical tax considerations that must be addressed in the early stages of structuring a transaction
  • Best practices to protect critical assets and relationships in the event of a failed deal

Paul Ellis, Managing Partner, Paul Ellis Law Group LLC

Ben Boissevain, Founder and Managing Partner, Ascento Capital

Ben Boissevain is an investment banker with extensive experience in the technology sector with expertise in Enterprise Software, MarTech, FinTech, PropTech, InsurTech, RegTech, HealthTech, AI, Cloud, AR/VR, eCommerce, UCaaS, SaaS, Analytics, Data, Managed Services, and Digital Media.

​Ben has 20 years of tech M&A experience. He graduated from NYU Law School and started his career at White & Case. He garnered investment banking experience at Erste Bank in Vienna and Barclays Bank in New York. Ben has broad international experience in, among other countries, India, Israel, France, Germany, U.K., and Japan.

He speaks regularly on panels on the technology sector and corporate finance and has appeared on TV at Fox News and Bloomberg.​

Al Wasserberger, Chief Revenue Officer, Stormboard

Al Wasserberger is a Serial Entrepreneur with 38 buy-side, sell-side and financing transactions under his belt. His most recent exit was the sale of StreamWeaver to BMC (Ascento and Anchin advised). A specialist in building technology companies through strategic partnerships, Al has built his companies through OEM and strategic relationships with the likes of IBM, Cisco, CA, Microsoft, Hewlett Packard and more. He is now the chief revenue officer and a member of the board of directors of Edmonton, AB based Stormboard - a company revolutionizing the collaboration industry for data-first thinkers. Al lives in Raleigh, NC with his daughter Leah and his dog Teddy - both of whom often make guest appearances on his YouTube cooking show.
